This website is provided to you subject to the following terms and conditions (hereinafter, the “Terms”). The Terms apply to the present website (https://www.iee.lu) but also to any and all other websites of IEE S.A. or any of its subsidiaries (together referred to as “IEE”) worldwide (collectively, the “Site”). The Site and all of its content is the property of IEE and protected by copyright, trademark and other intellectual property as well as competition laws and regulations. These Terms are effective as of 2nd May 2016 and may be amended or rescinded at any time by IEE without any obligation of IEE to inform you beforehand.

1. User agreement on Site access and general use

As a user of the Site, you ascertain to IEE that your access is on your own behalf or on behalf of your employer or your own business enterprise and that you are authorized and empowered to make promises, representations and agreements on your own behalf or on behalf of your employer or business enterprise. You understand that this agreement contains important legal and financial responsibilities that may affect you, your employer or your business.

As an inducement for IEE to provide you with access to or permitting you to use the Site, you agree to the following terms and conditions. You understand that the internet, electronic commerce and technology is changing rapidly and IEE may address these changes by changing these Terms from time to time at IEE’s sole discretion. Accordingly you promise to review regularly these Terms to be informed of and agree to any changes made by IEE. If at any time you do not agree to any term or condition or this or any revised IEE web access or use agreement, you promise not to access or otherwise use the Site. You understand that these Terms apply to the Site as defined above. You agree that the word "content”, as used in these Terms refers to any material, documents, images, trademarks, copyrighted materials, graphics, logos, design, audio, video and any other information provided from or on the Site.

2. Purpose

IEE maintains the Site content for general marketing, promotional, public relations and general public purposes. IEE does not transact business or engage in transactions by way of Site content. Regardless of the existence of any order forms, interactive features, request forms, invitation for comment or suggestions contained in the Site, no contract or binding obligation of IEE of any kind may be implied, assumed or made until an authorized and empowered representative of IEE reviews and accepts, in writing, any proposal, offer, order or other information submitted by you via the Site. IEE becomes legally bound by and responsible for only those promises, obligations and commitments contained in written contracts and instruments signed by such authorized and empowered representatives of IEE. Notwithstanding anything to the contrary contained in the Site, IEE reserves the right to and may reject any information, offers, orders, suggestions, comments or other information submitted to IEE via the Site.

3. No permissions

IEE provides the Site content for informational purposes only for its customers, investors, vendors and employees and other constituencies.

  • You have:
    • no right to copy, download, display, perform, reproduce, distribute, modify, edit, alter or enhance any of the materials on the Site in any manner,
    • no right, title or interest (and no copyright, trademark, or other intellectual property right) in or to the Site or any materials on the Site,
    • no right to “mirror” or “frame” the Site or any material contained thereon or accessible from the Site on any other server or Internet-based device without prior written authorization by IEE.
  • You may not:
    • attempt by hacking, password mining, or any other illegitimate means gain access to,
    • test, scan or probe the vulnerability of, or
    • trace, seek to trace, reverse lookup, or reveal any information about another user of the Site, any feature or content of the Site, or any other IEE system, network or server.

You also agree not to use any “page-scrape” or other automatic device, algorithm, or program or any similar manual process, to access, copy or monitor any portion of the Site or the materials thereon, to reproduce or circumvent the navigational structure of the Site, or to obtain any materials on the Site other than as intended by IEE and made available through the Site.

No license is granted by IEE to anyone to use or exploit any content. If you wish to use or exploit any Site content, you agree to contact IEE in writing and to use such content only in accordance with a written agreement with IEE. If you use or exploit any IEE content without the agreement of IEE, you agree to be responsible for all claims, costs, losses, expenses, damages and liabilities incurred by IEE as a result of your actions or omissions.

4. Disclaimer

IEE has no obligation to ensure that the content of the Site is accurate or complete, up-to-date or current, free from technical inaccuracies or typographical errors, free from changes caused by any third party or that access to the Site will be free from interruptions, errors, computer viruses or other harmful components. You understand that IEE may (but has no obligation in the absence of governmental regulatory requirements) change, withdraw, improve or otherwise modify the Site content at any time without any notice to you.

5. No warranties

Site content is provided by IEE AS-IS and without warranties of any kind, either express or implied. To the extent that any access or use of the Site constitutes a sale or exchange of goods, all warranties, express or implied, including, but not limited to, implied warranties or merchantability and fitness for a particular purpose, are disclaimed.

Under no circumstances, including, but not limited to, negligence, shall IEE be liable for any direct or indirect, special, incidental or consequential damages. This includes but is not limited to loss of data or profit arising out of the use or the inability to use the content of the Site, even if an IEE representative has been advised of the possibility of such damages.

6. No confidentiality and license

If you wish to provide your information to IEE and you wish to retain an interest or ownership in it, you must contact IEE in writing and propose to IEE a commercial transaction pursuant to which you and IEE agree in a written and signed agreement to an exchange of information. If you transmit to or post on the Site without any prior written agreement with IEE providing for such activity, any material, data, information or idea, it will be treated as non-confidential and non-proprietary and may be disseminated or used by IEE for any purpose. By sending IEE any information or material, you grant IEE an unrestricted, irrevocable license to use, reproduce, display, perform, modify, transmit and distribute those materials and information. You also agree that IEE is free to use any ideas, concepts, know-how or techniques that you send to IEE for any purpose without any obligation to you.

Technical data

While you navigate through our website, we collect different kinds of technical data :

Personal data may be shared internally for company purposes and with different third party providers in accordance with their contractual arrangements. Your rights

According to the (EU) 2016/679 regulation on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, you benefit from a certain number of rights. 8. No unlawful or unacceptable content posting

You are not authorized to post on or transmit to the Site any unlawful, threatening, libellous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material, or any other content that could give rise to any civil or criminal liability under any applicable law. If you do so, you agree to assume all claims, costs, losses, expenses, damages and liabilities caused by such activity and indemnify and hold IEE harmless from any liability or loss.

The content in any such linked sites is not under IEE control and IEE is not responsible for the content of those sites, including any further links to other sites. 10. Link to the Site

By linking to the Site, the linking party agrees to defend, indemnify and hold IEE and its officers, directors, employees, affiliates, agents, licensors and business partners harmless from and against any and all losses, costs, damages, liabilities and expenses including, without limitation, attorney’s fees and costs of defense arising from or in relation to any such link. IEE has no liability for any indirect, exemplary, incidental, punitive, special or consequential damages of any kind with regard to the linking or use of such link.

If you wish to provide a link to the Site, you may do so but you may not use or replicate IEE content; you agree not to create a browser, border environment or frame for IEE content; you may not imply that IEE is endorsing you or your products or services; you may not misrepresent your relationship with IEE; you may not present false information about IEE products or services; and your linked website shall not contain content that could be construed as distasteful, offensive or controversial, and/or contain content that is not appropriate for all age, racial, religious or other groups protected by law. If you violate these promises, you agree to be responsible for all claims, costs, losses, expenses, damages and liabilities associated with such acts or omissions and indemnify and hold IEE harmless from any and all damages and you agree to remove any link to IEE immediately upon the request of IEE.

11. No investment/financial advice

The Site content does not constitute an investment advice and nothing therein may be construed as an offer to sell or solicitations of an offer to buy any security or other participation in any company or entity whatsoever.

12. No representations, legal compliance

IEE makes no representation that content or materials on the Site are appropriate or available for use outside Luxembourg. Your use of the Site and the interpretation and application of the Terms as well as any claims relating to the Site and its content and materials shall be governed by the laws of the Grand-Duchy of Luxembourg, without giving effect to any principles of conflicts of laws. You agree that for any legal action or proceeding between you and IEE for any purpose concerning these Terms or the parties’ obligations, the courts of Luxembourg-city shall have exclusive jurisdiction.

The materials on the Site are subject to applicable laws and regulations, including export control and import regulations. Neither the materials, nor any information acquired through the use of the Site, may be acquired for, shipped, transferred, or re-exported, directly or indirectly, to proscribed or embargoed countries or their nationals, nor may they be used for nuclear activities, chemical or biological weapons or missile projects without a specific license permitting such use and issued by the responsible government authority. You shall comply strictly with all applicable export laws and regulations and assume sole responsibility for obtaining necessary licenses to export or re-export.

IEE claims the copyright interest in the compilation in all the Site content, including without limitation, the incorporated websites.
